Eligibility and Account Registration

  1. Eligibility: You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

  2. User Content: If you submit, upload, or otherwise provide any data, content, or materials (“User Content”) via the Service, you represent and warrant that you have all necessary rights to do so. You grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and perform your User Content in connection with the operation and promotion of the Service.

Fees and Payment

To the fullest extent permitted by law, in no event shall dhaasu llc., its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to these terms or your use of or inability to use the service, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages. In no event will our total liability exceed the amount you paid for the service during the twelve (12) months prior to the event giving rise to liability.

Indemnification

You agree to defend, indemnify, and hold harmless Dhaasu LLC., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Modifications to the Terms or Services

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any changes to these Terms have been posted constitutes your acceptance of the revised Terms. We may also update, change, or discontinue any aspect of the Service at any time without notice or liability.

Termination

We may suspend or terminate your access to the Service at our sole discretion, with or without notice, if we believe you have violated these Terms or any applicable law. Upon termination, all licenses granted herein shall immediately cease. Provisions that by their nature should survive termination (including limitations of liability and indemnification) will remain in effect.

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to these Terms, or the Service will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. All disputes, claims, or controversies arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of these courts.

Miscellaneous

  1. Entire Agreement: These Terms, along with any additional agreements referenced herein, constitute the entire agreement between you and the Company regarding the Service.
  2. Severability: If any provision of these Terms is found invalid or unenforceable, such provision shall be enforced to the fullest extent permissible and the remaining provisions shall remain in full force and effect.
  3. Waiver: Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
  4. Assignment: You may not assign or transfer these Terms, or your rights and obligations hereunder, without our prior written consent. We may assign our rights and obligations under these Terms at any time.
